Advertising Agreement

This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by the Advertiser ("Effective Date") by and between Global Strays Inc , a nonprofit organization with its principal place of business at 26 Hill Street #112, Southampton, NY 11968, USA ("Advertiser"), and the advertising platform or publisher ("Publisher") through which the Advertiser intends to run advertisements.

The purpose of this Agreement is to outline the terms and conditions under which the Advertiser will use the Publisher's services for the placement of advertisements on websites, search engines, or other digital platforms.

1. Definitions

• Advertiser : Global Strays Inc, the entity responsible for creating and funding the advertisements.
• Publisher : The entity providing advertising services, including but not limited to Microsoft Ads.
• Advertisements : Any promotional content created by the Advertiser and displayed on the Publisher's platform(s).
• EIN : Employer Identification Number (81-3509140), assigned to Global Strays Inc by the Internal Revenue Service (IRS).

The Advertiser represents and warrants that all information provided above is accurate and up-to-date.

3. Scope of Services

The Publisher agrees to provide advertising services to the Advertiser, including but not limited to:

• Displaying Advertisements on its platform(s) in accordance with the targeting criteria specified by the Advertiser.
• Providing tools for the Advertiser to monitor the performance of its campaigns, including impressions, clicks, and conversions.
• Ensuring compliance with applicable laws, regulations, and industry standards.

The Advertiser agrees to:

• Provide accurate and non-misleading content for all Advertisements.
• Comply with the Publisher’s policies, guidelines, and technical requirements for ad creation and placement.
• Pay all fees associated with the advertising services as outlined in Section 5 below.

4. Content Restrictions

The Advertiser agrees that all Advertisements will comply with the following restrictions:

• Advertisements must not contain false, deceptive, or misleading claims.
• Advertisements must not promote illegal activities or violate any applicable laws or regulations.
• Advertisements must adhere to the Publisher’s content policies, including but not limited to prohibitions on hate speech, discrimination, and adult content.
• Advertisements must clearly identify Global Strays Inc as the sponsoring organization.

Failure to comply with these restrictions may result in the suspension or termination of the Advertiser’s account.

5. Payment Terms

• The Advertiser agrees to pay all costs incurred for the advertising services provided by the Publisher.
• Payment will be made via the payment method specified by the Publisher (e.g., credit card, direct debit, etc.).
• All payments are non-refundable unless otherwise stated in the Publisher’s refund policy.
• The Advertiser is responsible for monitoring its account balance and ensuring sufficient funds are available to cover advertising expenses.

6. Intellectual Property

• The Advertiser retains ownership of all intellectual property rights in the content of its Advertisements.
• The Publisher retains ownership of all intellectual property rights in its platform, tools, and services.
• Neither party may use the other party’s trademarks, logos, or branding without prior written consent.

7. Compliance with Laws

The Advertiser agrees to comply with all applicable federal, state, and local laws, including but not limited to:

• The Federal Trade Commission (FTC) guidelines on truth in advertising.
• The CAN-SPAM Act for email marketing.
• Data privacy laws, such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).

8. Indemnification

The Advertiser agrees to indemnify, defend, and hold harmless the Publisher, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of:

• Any breach of this Agreement by the Advertiser.
• Any violation of applicable laws or regulations by the Advertiser.
• Any third-party claim related to the Advertiser’s Advertisements.

9. Termination

• Either party may terminate this Agreement at any time by providing written notice to the other party.
• Upon termination, the Advertiser will remain responsible for all unpaid fees incurred prior to the termination date.
• The Publisher reserves the right to suspend or terminate the Advertiser’s account immediately if the Advertiser violates any terms of this Agreement or the Publisher’s policies.

10. Limitation of Liability

In no event shall the Publisher be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement. The Publisher’s total liability to the Advertiser for any claims arising under this Agreement shall not exceed the total amount paid by the Advertiser to the Publisher during the preceding 12 months.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

13. Amendments

This Agreement may only be amended or modified by a written document signed by both parties.

By submitting this Agreement, the Advertiser acknowledges that it has read, understood, and agreed to be bound by the terms and conditions set forth herein.
